No, they're not ghosts or spirits. They're an off-shoot of the Skrulls. They were banished from Skrullish society for the practice of dark magics.
As for their weakness....they not great fighters or invulnerable. Their strength lie in their spells, their advanced science, and their ability to infiltrate any society. Only something like my Analyzer can deduce what they really are when they shapeshift.
