Captian America Powers and Equipment:
With the exception of his super-strength phase, Captain America is as strong, fast, agile, and durable as it is possible for a human being to be without being considered superhuman. The formula enhances all of his metabolic functions and also prevents the build-up of fatigue poisons in his muscles, giving him endurance far in excess of an ordinary human being. This accounts for many of his extraordinary feats, including running a mile in a little over a minute. The Official Handbook of the Marvel Universe gives his maximum overhead lifting capacity at 800 lb "with extreme effort". He was depicted bench pressing 1100 lb in a workout while carrying on a conversation in Captain America Vol. 1) #402. Despite the fact that the handbooks class the ability to lift 800 lb as superhuman, the editorial position at Marvel is that he is simply at the upper limits of human conditioning. Mentally, his battle experience and training has also made him an expert tactician and an excellent field commander, with his teammates frequently deferring to his orders in battle. Rogers's reflexes and senses are also extraordinarily keen. He has mastered boxing, jiu jitsu and judo, combined with his virtually superhuman gymnastic ability into his own unique fighting style. Years of practice with using his indestructible shield has made it practically an extension of his own body, and he is able to aim and throw it with almost unerring accuracy and ricochet the shield to hit multiple targets; all told, he is one of the greatest hand-to-hand combatants in the Marvel Universe.

Skills, resources and abilities:
Batman is a superhero despite his not having super-powers. His resourcefulness, insight, and years of rigorous training make up for the absence of any other special abilities.
Physically, he is at the peak of human ability in dozens of areas, notably martial arts, acrobatics, strength, and escape artistry. Intellectually, he is just as peerless; Batman is one of the world's greatest scientists, criminologists, and tacticians, as well as a master of disguise. He is regarded as one of the DC Universe's greatest detectives. Rather than simply out-fighting them, Batman often uses cunning and planning to outwit his foes.
Equipment The 1966 television Batmobile was built by George Barris from a Lincoln Futura concept car.Batman designs or modifies the majority of costumes, equipment, and vehicles he uses as Batman, producing them through various divisions of Wayne Enterprises, including Kordtronics. At various times, characters such as Oracle, Harold, and Toyman III create, modify, or repair Batman's equipment. Additionally, sometimes Batman adapts or reverse-engineers the technology of other villains and heroes, such as Mister Terrific's T-spheres.
Over the years, Batman accumulates a large arsenal of specialized gadgets. The designs of which usually share a common theme of dark coloration and a bat motif. A notable example is Batman's primary vehicle, the Batmobile, usually depicted as an imposing black car with large tailfins that suggest a bat's wings; another is his chief throwing weapon, the batarang, a bat-shaped boomerang/throwing star.
In proper practice, the "bat" prefix (as in batmobile or batarang) is rarely used by Batman himself when referring to his equipment, particularly after some portrayals (primarily the 1960s Batman live-action television show and the Super Friends animated series) stretched the practice to camp proportions. The 1960s television series Batman has an arsenal that includes such ridiculous, satirical "bat-" names as the bat-computer, bat-scanner, bat-radar, bat-cuffs, bat-pontoons, bat-drinking water dispenser, bat-camera with polarized bat-filter, shark repellent bat-spray, and bat-rope. In one episode, Batman and Robin stop by an outdoor hamburger stand which sells "bat-burgers", beef sandwiches supposedly named in his honor.
Batman keeps most of his field equipment in a signature piece of apparel, a utility belt. Over the years it is shown to contain a virtually limitless variety of crimefighting tools. Different versions of the belt have these items stored in either pouches or hard cylinders attached evenly around it.

Because of his superior endurance alone, Cap takes the win. He's smart enough no keep up with Batman's traps and gizmos, and when Bats gets tired, Cap is still fresh enough to deliver the finishing blow.

omizell batmans already beaten capt. before in an earlier match up. for real. check wikapedia. That was a non-canon fan decided battle. Captain America is not ONLY as strong as physically possible, he's also as agile as humanly possible as well. He can do things acrobatically that are physically impossible for a normal human his size to do. Pair that with his tremendous knowledge of fighting and tactics, and it's pretty obvious that he'd win the fight.....Not to mention his reaction speed is 10x faster then a humans could be, which allows him to dodge/deflect bullets.

Cap can do anything you've ever seen someone on a Strong Man Competition do, anything any human has ever been able to do involving balance and acrobatics. He would be, literally, strong enough to snap batman in two. Batman is smart, smart enough to get out of the way of gunfire....but he's not quick enough to run through it. Cap is fast enough to be able to literally dodge a bullet. Assuming batman's reflexes are the peak of human perfection? Cap's ar TEN TIMES QUICKER. Batman has a vast knowledge of martial arts? He doesn't know Cap's fighting style, Cap made it himself. Cap also has extensive hand to hand training.

Basically anything Batman can do, Cap can do better.
Cap is a better fighter. Batman even admitted that when he flat out said that Cap could beat him. Not to mention he schooled Prometheus (with Batman's fighting style) without breaking a sweat.
Cap has better physical stats. He's stronger, faster, more durable, has a better healing factor, more agile. AND his endurance is super human. He could literally fight at full strength weeks (he did tours like that in WW2 several times).
Cap is used to people that use weapons and gadgets. His arch-villans are Red Skull and Baron Zemo for crying out loud. Their tricks and gadgets put Batman's to shame and Cap still comes out on top.
Cap is better at combat in general. He's THE master tactician. Even Batman would bow out to him if they teamed up.
Their really is no reason that Batman would win.

ok well then if i admit that caps better in all nature, what do you guys think about if batman had time to come up with something in advance, after all it is said that batman can beat anyone with enough planning and time, say he had a month, which may be a little to long..

If Batman gets a month then so does Cap. If Cap gets a month then the outcome would still be the same. omizell after all it is said that batman can beat anyone with enough planning and time That my friend is a myth. There is no one that Batman could take out that Cap, Spiderman, Black Panther....couldn't take out just as easily.

Cap is iffy... without friend's resources. He's a FAR better tactition than Batman, but with Bruce's resources and superior intellect in other areas, he could conceivably beat someone with prep that Cap couldn't.
Not that it matters in this fight. For all intents and purposes
Cap = Deathstroke (minus reaction speed, and HF) + fighting style better than Lady Shiva.
